These Terms of Service (“Terms”) govern your access to and use of the websites, software, platforms, tools, systems, and services provided by Reisinger Strategies Group (“RSG,” “Company,” “we,” “us,” or “our”).
By accessing our website, purchasing services, creating an account, submitting payment, or otherwise using RSG services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.
1. About Reisinger Strategies Group
Reisinger Strategies Group (“RSG”) is a digital marketing, AI automation, and software-enabled service provider offering business growth, marketing, automation, website, CRM, and managed platform solutions, including but not limited to:
- Search Engine Optimization (SEO)
- Email Marketing
- AI Call Assistance
- Sales AI Assistance
- AI Brand Monitoring
- Social Media Management
- Market Research
- Content Creation
- CRM & Automation Systems
- Website Design & Hosting
- Managed Subscription Platforms
- “Idea to Business” Services
2. Eligibility
RSG services are intended solely for individuals and businesses capable of entering legally binding agreements.
By using our services, you represent and warrant that:
- You are at least eighteen (18) years old
- You possess legal authority to enter into these Terms
- All information provided to RSG is accurate and complete
RSG reserves the right to refuse or terminate services at its discretion.
3. Scope of Services
RSG provides customized services based on selected packages, subscriptions, proposals, order forms, onboarding agreements, or custom arrangements.
Services are delivered using commercially reasonable efforts and professional judgment.
Service timelines, deliverables, and results may vary based on:
- Client responsiveness
- Third-party platform limitations
- Technical issues
- External providers
- Regulatory requirements
- AI system behavior
- Market conditions
RSG may use subcontractors, software providers, automation systems, artificial intelligence tools, and third-party vendors to provide services.
4. No Guarantee of Results
RSG does not guarantee any specific business, financial, operational, or marketing results.
This includes but is not limited to:
- Search engine rankings
- Traffic volume
- Lead generation
- Conversion rates
- Revenue increases
- Advertising performance
- Email deliverability
- AI accuracy
- Platform uptime
- Business growth
Clients acknowledge that marketing performance, automation systems, AI technologies, and digital platforms are subject to constant change and external factors beyond RSG’s control.
RSG does not guarantee email, SMS, voicemail, or communication deliverability rates, inbox placement, carrier acceptance, or message performance.
RSG guarantees only that services will be provided in good faith using commercially reasonable professional standards.
5. Client Responsibilities
Clients agree to:
- Provide accurate and complete information
- Maintain lawful business practices
- Provide timely approvals and feedback
- Grant necessary access to systems and accounts
- Maintain proper account security
- Comply with all applicable laws and regulations
- Ensure content and business operations remain compliant
Clients are solely responsible for:
- Their business activities
- Their customer communications
- Their marketing practices
- Their legal compliance
- Their use of services and generated content
RSG is not responsible for delays, failures, or losses caused by incomplete information, delayed responses, client inaction, revoked access, or third-party restrictions.
6. Payments & Billing
6.1 Fees
All fees are due in advance unless otherwise agreed in writing.
RSG may require deposits, setup fees, onboarding fees, subscription fees, licensing fees, or milestone-based payments.
Payments are processed through authorized payment processors including Stripe and other third-party providers.
6.2 Subscription Services
Recurring services automatically renew unless canceled prior to the next billing date.
Cancellation requests submitted after a billing cycle has started will take effect at the end of the current billing period.
Subscription fees are billed in advance and are non-refundable unless otherwise stated in the applicable Refund Policy.
The “Idea to Business” service and similar offerings operate as fully managed subscription-based platforms.
Subscription fees may include:
- Hosting
- CRM access
- Licensing
- Infrastructure
- Maintenance
- AI systems
- Automations
- Technical support
- Platform management
Access to services is contingent upon maintaining an active paid subscription.
6.3 Non-Payment
Failure to pay may result in:
- Immediate service suspension
- Restricted platform access
- Loss of hosted functionality
- Removal of integrations
- Account termination
- Permanent deletion of hosted data
RSG reserves the right to pursue lawful collection remedies and recover associated costs.
7. Refund Policy
Refunds are governed by RSG’s separate Refund Policy, which is incorporated into these Terms by reference.
By purchasing services, clients acknowledge and agree to the Refund Policy.
8. Intellectual Property & Ownership
8.1 Client Deliverables
Upon full payment, clients own final deliverables specifically created for them as part of deliverable-based services, unless otherwise stated in writing.
Deliverables may include:
- Reports
- Written copy
- Graphic assets
- Marketing materials
- Completed research
8.2 RSG Intellectual Property
RSG retains ownership of all proprietary systems, materials, methodologies, templates, frameworks, workflows, automations, prompts, backend systems, software configurations, processes, and operational infrastructure used to provide services.
Nothing in these Terms transfers ownership of RSG intellectual property to the client.
8.3 Managed Platform Services
For managed subscription services, including but not limited to the “Idea to Business” service, CRM management, automation systems, AI agent hosting, and software-enabled platforms:
Clients are purchasing access to a hosted and managed software environment and do not acquire ownership rights to:
- Hosting infrastructure
- Backend systems
- CRM configurations
- Automation architecture
- Platform environments
- Licensed software
- AI systems
- Funnels
- Integrations
- Proprietary workflows
- Templates
- Operational infrastructure
RSG retains all ownership rights, title, and interest in the managed platform environment and underlying systems.
Clients receive a limited, revocable, non-transferable license to access and use the services only during an active paid subscription term.
9. Messaging & A2P Compliance
Clients are responsible for complying with all applicable telecommunications, marketing, messaging, privacy, and data protection laws.
RSG may assist with:
- A2P registration
- Messaging verification
- Carrier onboarding
- SMS configuration
- Compliance-related setup
However, approval decisions are controlled by third-party carriers and providers.
Fees related to A2P registration, verification, compliance review, messaging approval, onboarding, and setup are non-refundable.
Clients are solely responsible for obtaining proper customer consent for communications.
10. Confidentiality & Data Access
RSG may access account information, analytics, recordings, communications, and operational data solely for purposes related to service delivery, optimization, troubleshooting, compliance, and support.
RSG does not sell client data.
Clients acknowledge that third-party platforms used in connection with services may process or store data independently under their own policies.
11. Data Security & Sensitive Information
Clients may not submit or transmit:
- Protected health information (HIPAA data)
- Government identification numbers
- Financial account credentials
- Highly sensitive personal data
- Illegal content
RSG is not HIPAA compliant.
Temporary credentials provided to RSG should be changed after authorized access is complete.
Clients remain responsible for maintaining account and credential security.
12. AI & Automation Disclaimer
RSG utilizes artificial intelligence, machine learning systems, automations, and third-party software tools.
Clients acknowledge that:
- AI outputs may contain inaccuracies
- AI-generated content may require human review
- Platform behavior may change over time
- Third-party AI systems are outside RSG’s control
RSG is not responsible for decisions, actions, or damages resulting from reliance on AI-generated content or automated systems.
13. Acceptable Use
13.1 Platform Usage Limits & Abuse Prevention
Clients agree to use RSG platforms, CRM systems, messaging tools, automations, email infrastructure, AI systems, and hosted services responsibly and in compliance with applicable laws, carrier rules, and platform policies.
RSG reserves the right to monitor platform usage for abuse, excessive consumption, spam activity, security risks, system instability, or behavior that may negatively impact platform performance, deliverability, infrastructure reputation, third-party provider relationships, or other users.
Prohibited or excessive usage may include, but is not limited to:
- Mass unsolicited email campaigns
- Excessive SMS or outbound messaging activity
- Spam complaints
- High bounce or unsubscribe rates
- Carrier or provider violations
- Unauthorized automation abuse
- Activities that threaten system stability or platform reputation
- Excessive API or infrastructure usage
- Circumvention of platform limitations or safeguards
RSG reserves the right, at its sole discretion, to:
- Throttle or limit platform usage
- Suspend messaging capabilities
- Restrict account functionality
- Disable automations or integrations
- Require upgraded plans or usage-based fees
- Charge for excess platform, carrier, API, infrastructure, or usage costs
- Suspend or terminate services immediately without refund
RSG may take immediate action, including emergency suspension of messaging, automations, email delivery, API access, or platform functionality, when necessary to protect infrastructure, platform reputation, deliverability, security, compliance, or third-party provider relationships.
Clients are solely responsible for all communications, campaigns, content, messaging activity, and usage originating from their accounts.
Clients agree to reimburse RSG for any third-party penalties, carrier fines, platform fees, overage charges, damages, or compliance costs resulting from the Client’s misuse of the services.
RSG reserves the right to establish, modify, or enforce reasonable usage limits, sending thresholds, storage limitations, automation limits, or platform restrictions at any time to maintain system integrity, compliance, and platform performance.
14. Chargebacks & Payment Disputes
Clients agree to contact RSG before initiating chargebacks or payment disputes.
Unauthorized or abusive chargebacks constitute a material breach of these Terms.
RSG reserves the right to:
- Suspend or terminate services
- Remove platform access
- Recover fees and costs
- Submit evidence to payment providers
- Pursue legal remedies
Clients remain responsible for outstanding balances and dispute-related expenses.
15. Termination
15.1 By Client
Clients may terminate recurring services by providing notice prior to the next billing cycle.
Termination does not eliminate outstanding balances or previously incurred fees.
15.2 By RSG
RSG may suspend or terminate services immediately for:
- Non-payment
- Fraud
- Abuse
- Harassment
- Policy violations
- Legal risk
- Reputational harm
- Improper platform usage
15.3 Effect of Termination on Managed Services
Upon cancellation, expiration, suspension, non-payment, or termination of managed subscription services:
- Website hosting may be suspended or removed
- CRM access may be revoked
- Automations may be disabled
- Funnels and landing pages may stop functioning
- AI systems and integrations may be disconnected
- Access credentials may be revoked
Clients are responsible for exporting desired contacts, records, and data before termination becomes effective.
RSG is not obligated to maintain, store, migrate, reproduce, or transfer hosted systems, CRM configurations, websites, automations, funnels, or platform environments after termination.
RSG reserves the right to permanently delete hosted systems and data after cancellation without notice.
Unless otherwise agreed in writing, clients do not retain ownership rights to managed platform infrastructure after cancellation.
16. Testimonials & Marketing Use
Unless otherwise requested in writing, clients grant RSG permission to reference the business relationship for portfolio, testimonial, case study, and marketing purposes.
RSG will not intentionally disclose confidential business information.
17. Service Modifications
RSG reserves the right to modify, suspend, replace, discontinue, or update services, software providers, integrations, AI systems, platform features, or operational functionality at any time without liability.
Third-party providers may independently change pricing, policies, functionality, or availability.
RSG is not responsible for disruptions caused by external platform or provider changes.
18. Limitation of Liability
To the maximum extent permitted by law, RSG’s total liability arising from any claim shall not exceed the total amount paid by the client to RSG during the thirty (30) days preceding the event giving rise to the claim.
RSG shall not be liable for:
- Indirect damages
- Consequential damages
- Lost profits
- Business interruption
- Data loss
- Reputation damage
- Loss of opportunity
19. Indemnification
Clients agree to indemnify, defend, and hold harmless RSG and its owners, contractors, affiliates, and service providers from claims, liabilities, damages, costs, and expenses arising from:
- Client content
- Client business activities
- Legal violations
- Platform misuse
- Customer disputes
- Data breaches caused by client conduct
- Unauthorized communications
20. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the Commonwealth of Pennsylvania.
Any dispute arising under these Terms shall be resolved exclusively within Pennsylvania.
RSG reserves the right to require binding arbitration as a condition of dispute resolution.
21. Force Majeure
RSG shall not be liable for delays, interruptions, or failures caused by events beyond reasonable control, including:
- Internet outages
- Platform failures
- Third-party service interruptions
- Cyberattacks
- Natural disasters
- Regulatory actions
- Labor shortages
- Government actions
22. Modifications to Terms
RSG may update or modify these Terms at any time without prior notice.
Updated Terms become effective immediately upon posting.
Continued use of services constitutes acceptance of revised Terms.
